CozyJobs Terms of Service

These Terms of Service ("Terms") govern your access to and use of CozyJobs, a product of Omlist LLC ("Omlist," "CozyJobs," "we," "our," or "us"), including the CozyJobs web platform at cozyjobs.ai, the CozyApply Chrome extension, and all related services, APIs, and features (collectively, the "Service").

By creating an account, subscribing, posting a job, or using any part of the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.


1. Definitions

  • "Account" — your registered CozyJobs user account.
  • "Application Credits" (also referred to as "CozyApply credits") — units consumed when you use an AI-powered feature within the Service, such as generating form-field answers, cover letters, parsed resume data, or other application content.
  • "CozyApply" — the CozyApply Chrome browser extension, which assists you with drafting application materials and auto-filling fields on supported third-party application forms. CozyApply does not auto-submit applications on your behalf.
  • "Content" — all text, documents, data, images, and other materials you upload, submit, or provide through the Service, including resumes, cover letters, profile information, job postings, and feedback.
  • "Employer" — any individual or organization that posts a Job Listing, opportunity, or other content offering work through the Service.
  • "Job Listing" — any job posting, opportunity, grant, fellowship, residency, contest, pitch call, or other opportunity displayed on the Service, whether sourced by Omlist or submitted by an Employer.
  • "LLM-Generated Content" — text produced by large language models or AI tools integrated into the Service, including tailored cover letters, parsed resume data, and application text.
  • "Plan" — your selected subscription tier, which determines your feature access and Application Credit allowance. Plan names and inclusions are described on our pricing page.
  • "Service" — the CozyJobs platform, CozyApply extension, and all associated tools, features, and services.
  • "Third-Party Platform" — any external job board, employer website, applicant tracking system (ATS), recruitment portal, or other website or service accessed or linked through the Service.

2. The Service

2.1 Description

CozyJobs is a job-search platform that:

  1. Curates and aggregates Job Listings across many industries — including writing, creative, tech, journalism, film & media, music, arts, science, education, and more — covering freelance gigs, full-time positions, grants, fellowships, residencies, contests, and pitch calls.
  2. Provides job search, filtering, matching, and saved-job features based on your profile and preferences.
  3. Uses AI/LLM tools to parse resumes, extract job listing details, generate tailored cover letters, and provide other AI-assisted job search features.
  4. Offers links to external job postings on Third-Party Platforms where you can apply directly.
  5. Provides the CozyApply Chrome extension — an apply-assistance tool that helps you draft application materials and fill in form fields on supported employer application pages. You always review and submit each application yourself; CozyApply does not auto-submit on your behalf.
  6. Allows Employers to purchase Job Listings to be displayed on the Service, subject to Section 19 (Employer/Job Poster Terms).

2.2 No Employment, Recruiting, or Background-Screening Services

CozyJobs is a technology platform. We are not a staffing agency, recruiter, employment agency, employer, or consumer reporting agency. We do not:

  • Employ or hire users;
  • Guarantee interviews, job offers, responses from Employers, or employment outcomes of any kind;
  • Verify, vet, or endorse any Employer, organization, or individual who posts a Job Listing;
  • Conduct background checks or produce "consumer reports" within the meaning of the Fair Credit Reporting Act (15 U.S.C. § 1681 et seq.); resume or profile data you provide is not used to make credit, insurance, employment-screening, or housing decisions about you;
  • Act as an intermediary between you and any Employer beyond providing information and (where applicable) drafting tools.

2.3 Not an Automated Employment Decision Tool

CozyJobs's job-matching, ranking, and recommendation features are informational tools provided to job seekers. They do not make, and are not used by Employers to make, hiring or employment decisions. CozyJobs is not an "automated employment decision tool" within the meaning of New York City Local Law 144, the Illinois Artificial Intelligence Video Interview Act, the Colorado AI Act, or analogous laws. Employers do not access our match scores or use them to screen candidates.

2.4 Availability

The Service is provided on an "as available" basis. We may modify, suspend, or discontinue features at any time with or without notice. We will make reasonable efforts to notify users of material changes. New, beta, or experimental features may be released incrementally and are not guaranteed to be available at any given time.


3. Job Listing Disclaimer

THIS SECTION IS IMPORTANT. PLEASE READ IT CAREFULLY.

3.0 Interactive Computer Service / Section 230

CozyJobs is an "interactive computer service" as defined in 47 U.S.C. § 230(f)(2). Job Listings are provided by Employers, by third-party sources, or aggregated from publicly accessible web pages. Where AI tools categorize, summarize, deduplicate, extract metadata from, or otherwise process a Job Listing, those operations are tools used to help users find and evaluate listings; they do not transform Omlist into the speaker, author, or publisher of the underlying Job Listing or the conduct of any Employer. We rely on the protections of Section 230 of the Communications Decency Act and analogous state-law immunities to the maximum extent permitted by law.

3.1 Nature of Job Listings

CozyJobs aggregates, curates, and displays Job Listings from various sources — including third-party websites, employer career pages, applicant tracking systems, public RSS feeds, partner ingestion, and Job Listings purchased and submitted by Employers under Section 19. We aim to provide helpful, relevant opportunities to our users. However:

  • We do not create, verify, or endorse Job Listings. We do not independently verify the accuracy, legitimacy, or completeness of any Job Listing.
  • We do not verify Employers. We do not conduct background checks, verify the identity, legitimacy, or business standing of any Employer, organization, or individual associated with a Job Listing.
  • Job details may be inaccurate. Information in Job Listings — including job titles, descriptions, salary ranges, requirements, benefits, deadlines, and application instructions — is provided by third parties or auto-extracted by AI tools, and may be outdated, incomplete, or incorrect.

3.2 Assumption of Risk

By using the Service, you acknowledge and agree that:

  1. You apply to Job Listings at your own risk and discretion. We are a discovery tool, not a guarantor of opportunities.
  2. You are solely responsible for evaluating the legitimacy, suitability, and safety of any Job Listing or Employer before applying, sharing personal information, or entering into any agreement.
  3. Scam listings may appear on the Service. Despite our efforts to curate quality listings, fraudulent, misleading, or scam postings may slip through our processes. We are not liable for any loss, harm, or damage resulting from scam listings.
  4. We are not responsible for Employer conduct. We have no control over and assume no responsibility for the actions, omissions, policies, or practices of any Employer or third party.

3.3 No Liability for Job Listing Outcomes

Omlist LLC is not liable for:

  • Any loss, injury, claim, liability, or damage of any kind resulting from or related to any Job Listing displayed on the Service;
  • Scam or fraudulent Job Listings;
  • The accuracy, completeness, or timeliness of Job Listing details (including salary, requirements, deadlines, or benefits);
  • The outcome of any application submitted through or originating from the Service;
  • Any interaction, agreement, or dispute between you and any Employer, recruiter, or third party;
  • Any decision you make based on information found through the Service;
  • The conduct, solvency, or legitimacy of any Employer or third party;
  • Identity theft, financial loss, or other harm resulting from sharing personal information with Employers found through the Service.

3.4 Reporting Suspicious Listings

If you encounter a Job Listing that appears fraudulent, misleading, or inappropriate, please report it to us at support@omlist.io. We will review reports and may remove listings at our discretion, but we are under no obligation to do so and do not guarantee the outcome of any review.


4. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service. By using the Service, you represent and warrant that you meet this requirement and have the legal capacity to enter into these Terms.


5. Account Registration

5.1 Accuracy

You agree to provide accurate, current, and complete information during registration and to update it as necessary. Account registration is facilitated through Google OAuth (via our authentication provider) or other methods we make available.

5.2 Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately at support@omlist.io if you suspect unauthorized access.

5.3 One Account Per Person

Each account is for a single individual. You may not share account access, credentials, or Application Credits with others, or create multiple accounts to circumvent any limits or restrictions.


6. Subscription Plans and Billing

6.1 Paid Plans

CozyJobs offers a free tier and paid subscription tiers. The free tier includes a limited one-time allocation of Application Credits and restricted feature access. Specific features, Application Credit allowances, and pricing are described on our pricing page and at checkout.

6.2 Recurring Billing — Auto-Renewal Disclosure

YOUR SUBSCRIPTION AUTOMATICALLY RENEWS. By starting a paid subscription, you authorize us to charge your payment method, on a recurring basis (monthly or annually, depending on your selection), at the Plan price disclosed at checkout, until you cancel. Renewals occur at the start of each new billing period at the then-current price.

  • The recurring charge amount, billing frequency, and renewal date are disclosed clearly before checkout.
  • For annual subscriptions, we will send a renewal reminder email to the email address on file at least 15 days before each automatic renewal.
  • You can cancel at any time. Cancellation methods are described in Section 6.7 and are designed to be at least as easy as the steps used to start the subscription, in compliance with the California Automatic Renewal Law (Cal. Bus. & Prof. Code § 17600 et seq.) and the FTC's Negative Option Rule.

Payments are processed by Stripe. Stripe's terms of service and privacy policy apply to payment transactions.

6.3 Application Credits

  • Each paid Plan includes a defined number of Application Credits per billing period. The free Plan includes a one-time allocation of credits that do not renew.
  • One Application Credit is consumed each time you use an AI-powered generation feature, such as generating form-field answers, cover letters, or other application content via CozyApply or within the Service. A single job application may consume multiple credits if multiple generation actions are performed.
  • Unused credits on paid Plans do not roll over to the next billing period unless explicitly stated in your Plan terms. One-time credits (such as those included with the free Plan) do not expire but are not replenished.
  • Credits are non-transferable and have no cash value.
  • If a generation fails due to a Service error (not a third-party or user error), we may, at our discretion, restore the consumed credit.

6.4 Plan Changes

You may upgrade or downgrade your Plan at any time through your account settings. Changes take effect at the start of the next billing period unless otherwise specified.

6.5 Price Changes

We may change subscription pricing upon at least 30 days' notice. Price changes take effect at the start of your next billing period after the notice period.

6.6 Taxes

All fees are exclusive of applicable taxes, which you are responsible for. Where required by law, sales tax or VAT will be calculated and added at checkout (typically through Stripe Tax).

6.7 Cancellation

You may cancel your subscription at any time:

  • Through your account settings within the CozyJobs web app (the same channel used to start the subscription); or
  • By emailing support@omlist.io from the address associated with your account.

Cancellation takes effect at the end of the then-current billing period, and your subscription remains active through that date. No further charges will be made after cancellation. Cancellation does not require a phone call, retention conversation, or any step beyond the methods above.

6.8 Refund Policy

All sales are final. All payments for subscriptions, Job Listing posts, and any other purchases on CozyJobs are non-refundable, except where required by applicable law (including any non-waivable consumer rights under California or other state law, or EU/UK statutory rights for eligible users).

  • Job Postings: Once a Job Listing is submitted and payment is processed, no refunds will be issued, regardless of whether the listing is published, closed early, or removed.
  • Subscriptions: Subscription fees are non-refundable. You must cancel before the next billing cycle to avoid being charged for the following period. If you cancel, your subscription remains active through the end of the current billing period, but no prorated refunds are provided.
  • Credits Already Consumed: Application Credits that have been used are non-refundable.
  • Chargebacks: If you initiate a chargeback or payment dispute, we reserve the right to immediately suspend your account pending resolution.

6.9 Feature Availability

The features included in each Plan may change over time. We reserve the right to add, modify, or remove features from any Plan at our discretion. Features listed on our pricing page or marketing materials represent current availability and are not guaranteed for the duration of your subscription.


7. User Content, Data, and Resumes

7.1 Your Content

You retain ownership of Content you provide to the Service, including resumes, profile data, and other materials. By using the Service, you grant Omlist a non-exclusive, worldwide, royalty-free license to use, process, store, reproduce, and transmit your Content solely for the purpose of:

  • Operating and providing the Service;
  • Processing your Content through AI/LLM tools for resume parsing, job matching, cover letter generation, autofill drafting, and related features;
  • Improving the Service using aggregated, de-identified data.

7.2 Resume and Profile Data

When you upload a resume or create a profile, we process that data to:

  • Parse and extract relevant information (skills, experience, education, contact details) using AI tools;
  • Match you with relevant Job Listings;
  • Generate tailored application materials;
  • Pre-fill your supported application forms via CozyApply (you review and submit);
  • Store your information securely for your continued use of the Service.

You are responsible for ensuring your resume and profile information is accurate and up to date. See our Privacy Policy for details on how we handle your personal data.

7.3 No Use of Your Content to Train Public AI Models

We do not use the personal Content in your account (resume, profile, cover-letter drafts, application answers) to train, fine-tune, or evaluate any public-facing or third-party AI/LLM model in a way that personally identifies you. Where we use third-party AI providers to generate output, we send only the data necessary for that generation, under contracts that restrict the providers from using your data to train their general models. We may use aggregated, de-identified data and patterns to improve our own product features.

7.4 Feedback and Support Communications

If you submit feedback, support requests, bug reports, or feature suggestions through the Service or our help/support channels, you grant us a perpetual, irrevocable, royalty-free license to use that feedback to improve the Service without obligation to you. Support communications may be stored and used for quality assurance and product improvement purposes.


8. AI and LLM-Generated Content

8.1 Nature of AI Assistance

CozyJobs uses artificial intelligence and large language models to:

  • Parse resumes and extract structured data;
  • Parse and categorize Job Listings;
  • Generate tailored cover letters and application materials;
  • Provide job matching, recommendations, and autofill drafting through CozyApply.

LLM-Generated Content is provided as a drafting and organizational aid. It may contain inaccuracies, hallucinations, fabricated details, or content that does not accurately reflect your qualifications, the job requirements, or actual facts.

8.2 No Guarantee of Accuracy

We do not guarantee the accuracy, completeness, or suitability of any AI-generated or AI-parsed content. This includes but is not limited to:

  • Parsed resume data (skills, dates, job titles);
  • Job listing categorizations and details;
  • Generated cover letters and application text;
  • Form-field answers drafted via CozyApply;
  • Job match scores and recommendations.

8.3 Your Responsibility — Review Before Submission

You are solely responsible for:

  • Reviewing and verifying all AI-generated and AI-parsed content before submitting it to any Employer. CozyApply pre-fills draft answers; you choose what to submit and you click submit on the Employer's site.
  • Ensuring that any content submitted to Employers is truthful, accurate, and appropriate;
  • Any consequences arising from the use or submission of LLM-Generated Content, including any claim by an Employer or third party that submitted material was false, misleading, or fabricated.

8.4 No Professional Advice

LLM-Generated Content and AI features do not constitute career counseling, legal advice, financial advice, or professional guidance of any kind.

8.5 Synthetic Content Notice

Some content presented to you through the Service is generated or substantially modified by AI. You may, in turn, present AI-assisted content to Employers. You are responsible for any disclosure obligations applicable to AI-generated content in your jurisdiction or under any platform you submit it to.


9. CozyApply Chrome Extension

9.1 What CozyApply Does

CozyApply is a Chrome browser extension that assists you with applying to jobs. When you visit a supported Employer application page and actively invoke CozyApply (for example, by clicking "Fill Application," "Generate Cover Letter," or "Mark Applied"):

  • It draws on your CozyJobs profile and resume to draft form-field answers and a tailored cover letter for the role;
  • It can pre-fill form fields on supported application pages so you can review and edit before submitting;
  • It can mark a job as applied in your CozyJobs application tracker;
  • It transmits the URL, page title, and detected employer/ATS metadata of the job you applied to back to CozyJobs so the listing can be added to (or updated in) the public job database for other users.

CozyApply does not auto-submit applications. You always click the Employer's Submit button yourself. CozyApply is a co-pilot, not a bot.

9.2 Limited Drafting Agent Relationship

By using CozyApply, you authorize Omlist to act as your drafting agent for the limited purpose of preparing application content (cover letters, form-field answers) based on your inputs. You remain the author and sender of every application; Omlist does not transmit anything to an Employer that you did not first review and submit.

9.3 No Guarantee of Delivery, Compatibility, or Outcome

We do not and will not guarantee that:

  • CozyApply will function on any specific Employer site or applicant tracking system;
  • Pre-filled fields will map correctly to every form;
  • Applications will be successfully delivered to or received by Third-Party Platforms (you submit them yourself, on the Employer's site);
  • Applications will be reviewed, acknowledged, or responded to by Employers;
  • Any particular employment outcome will result.

9.4 Third-Party Platform Risk

Third-Party Platforms may change their systems, APIs, anti-automation measures, or terms without notice; or take adverse action against accounts that use third-party tools — including suspending or banning your account on their platform. Omlist is not responsible for any adverse action taken by a Third-Party Platform against you as a result of using the Service or CozyApply.

CozyApply is designed to respect platform anti-automation rules: it does not bypass CAPTCHAs, MFA challenges, or "unusual activity" checks. On platforms with strict anti-automation policies (such as Upwork), CozyApply operates in restricted, drafting-only modes that do not transmit data to CozyJobs servers and do not auto-fill or auto-submit. See our Privacy Policy for the platform-specific details.

9.5 Compliance with Third-Party Terms

You acknowledge that Third-Party Platforms have their own terms of service. You are solely responsible for understanding and complying with those terms, including any restrictions on third-party browser extensions or assistive tools, when applying through CozyApply.

9.6 Chrome Web Store / Browser Extension Terms

CozyApply is distributed through the Chrome Web Store and is subject to Google's Chrome Web Store User Data Policy and Limited Use requirements. We use the data we collect through CozyApply solely to provide and improve user-facing features described in these Terms and the Privacy Policy; we do not sell that data, and we do not transfer or use it for unrelated purposes, including advertising, credit-worthiness, or any other purpose unrelated to the user-facing features of CozyApply.


The Service contains links to Third-Party Platforms, Employer websites, and other external sites. These links are provided for your convenience and to facilitate your job search. We do not control, endorse, or assume any responsibility for the content, privacy policies, practices, or availability of any Third-Party Platform or external site.

10.2 Your Interactions with Third Parties

Your interactions with Third-Party Platforms and Employers — including any applications, agreements, communications, purchases, or disputes — are solely between you and the relevant third party. We are not a party to and bear no liability for any such interactions.

10.3 No Endorsement

The inclusion of a Job Listing or link on the Service does not constitute an endorsement, recommendation, or guarantee of the associated Employer, organization, opportunity, or website.


11. Acceptable Use

11.1 General Conduct

You agree to use the Service only for its intended purpose — your personal job search and career development, or, in the case of Employers, posting bona fide job opportunities. You agree to provide truthful and accurate information in your profile, resume, application materials, and Job Listings.

11.2 Prohibited Uses

You agree not to:

  1. Use the Service for any unlawful purpose or in violation of any applicable law;
  2. Misrepresent your identity, qualifications, or authorization;
  3. Submit applications for positions you are not genuinely interested in or qualified for;
  4. Use the Service to spam Employers or overwhelm application systems;
  5. Scrape, crawl, or harvest any content, data, or information from the Service using automated means (bots, scrapers, spiders, or similar tools);
  6. Use the Service or its content (including Job Listings, opportunities, descriptions, AI outputs, and curated compilations) to train, fine-tune, or evaluate any machine-learning model, including large language models, embedding models, ranking models, or recommendation systems;
  7. Create fake accounts, multiple accounts, or accounts for purposes other than genuine personal job seeking or bona fide Employer posting;
  8. Attempt to reverse-engineer, decompile, or extract source code from the Service;
  9. Circumvent usage limits, credit restrictions, access controls, paywalls, or anti-automation measures (CAPTCHAs, MFA, etc.);
  10. Resell, sublicense, or redistribute access to the Service or any data obtained through it;
  11. Interfere with the operation, security, or availability of the Service;
  12. Use the Service to compete with CozyJobs or to build a competing product or service;
  13. Upload malware, viruses, or other harmful code;
  14. Harass, abuse, or harm other users, Employers, or our staff;
  15. Post Job Listings that are discriminatory, illegal, fraudulent, or that solicit fees from applicants in violation of law (see Section 19).

11.3 Enforcement

We reserve the right to investigate and take appropriate action against any violation of this section, including suspending or terminating your account, removing content, and reporting conduct to law enforcement.


12. Intellectual Property

12.1 Omlist IP

The Service — including its software, design, features, documentation, branding, curated job listing compilations, and all proprietary technology — is owned by or licensed to Omlist LLC. These Terms do not grant you any ownership rights in the Service.

12.2 Your Content

You retain ownership of Content you provide (resumes, profile data, Job Listings you post, etc.). The license you grant us is described in Section 7.1.

12.3 LLM-Generated Content Ownership

LLM-Generated Content produced by the Service based on your inputs is provided for your use. You may use it for your personal job applications or, in the case of Employer postings, for your own listing. We do not claim ownership of LLM-Generated Content delivered to you, but we retain the right to use aggregated, de-identified patterns and outputs to improve the Service.

12.4 DMCA Notices

If you believe content on the Service infringes your copyright, contact our designated agent at legal@omlist.io with a DMCA notice including: (i) identification of the copyrighted work, (ii) identification of the infringing material and its location, (iii) your contact information, (iv) a statement of good-faith belief that the use is not authorized, and (v) a statement, made under penalty of perjury, that the information in the notice is accurate and that you are authorized to act on behalf of the rights holder.

12.5 Repeat Infringer Policy

In accordance with 17 U.S.C. § 512(i), it is our policy to terminate accounts of users who are determined, in appropriate circumstances, to be repeat infringers of copyright. We may also remove or disable access to material that we believe in good faith is infringing.

12.6 Counter-Notices

If you believe material you posted was removed in error, you may submit a counter-notice to legal@omlist.io including the elements required by 17 U.S.C. § 512(g)(3).


13. Privacy

Your use of the Service is subject to our Privacy Policy, which describes how we collect, use, share, and protect personal information. By using the Service, you acknowledge that you have read and understood the Privacy Policy.


14. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE MAXIMUM EXTENT PERMITTED BY LAW, OMLIST DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT THAT:

  • THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE;
  • JOB LISTINGS WILL BE ACCURATE, LEGITIMATE, CURRENT, OR COMPLETE;
  • EMPLOYERS OR THIRD PARTIES ASSOCIATED WITH JOB LISTINGS ARE LEGITIMATE, SOLVENT, OR TRUSTWORTHY;
  • APPLICATIONS DRAFTED OR PRE-FILLED VIA COZYAPPLY WILL BE COMPATIBLE WITH EVERY EMPLOYER FORM OR APPLICANT TRACKING SYSTEM;
  • LLM-GENERATED OR AI-PARSED CONTENT WILL BE ACCURATE, COMPLETE, OR SUITABLE;
  • USE OF THE SERVICE WILL RESULT IN INTERVIEWS, OFFERS, OR EMPLOYMENT;
  • THE SERVICE WILL COMPLY WITH THE TERMS OF SERVICE OF EVERY THIRD-PARTY PLATFORM.

15. Limitation of Liability

15.1 Cap on Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OMLIST'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO OMLIST IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS (USD $100).

15.2 Exclusion of Consequential Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL OMLIST, ITS OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES;
  • LOSS OF EMPLOYMENT PROSPECTS OR EXPECTED EMPLOYMENT;
  • DAMAGES ARISING FROM FRAUDULENT OR MISLEADING JOB LISTINGS;
  • DAMAGES ARISING FROM SHARING PERSONAL INFORMATION WITH THIRD PARTIES FOUND THROUGH THE SERVICE;
  • DAMAGES ARISING FROM ANY INTERACTION WITH EMPLOYERS OR THIRD PARTIES;
  • DAMAGES ARISING FROM AI HALLUCINATIONS, FABRICATIONS, OR OTHER INACCURACIES IN LLM-GENERATED CONTENT;

REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

15.3 Third-Party Platform and Employer Actions

WE ARE NOT LIABLE FOR ANY ACTION TAKEN BY A THIRD-PARTY PLATFORM OR EMPLOYER, INCLUDING ACCOUNT SUSPENSION, APPLICATION REJECTION, DATA LOSS, FRAUD, MISREPRESENTATION, OR ANY OTHER CONSEQUENCE ARISING FROM YOUR USE OF THE SERVICE OR YOUR INTERACTIONS WITH THIRD PARTIES.

15.4 Essential Purpose

THE LIMITATIONS IN THIS SECTION APPLY EVEN IF ANY REMEDY FAILS OF ITS ESSENTIAL PURPOSE.


16. Indemnification

You agree to indemnify, defend, and hold harmless Omlist LLC, its officers, directors, members, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  1. Your use of the Service;
  2. Your Content or application materials, including any LLM-Generated Content that you reviewed, edited, approved, or submitted, regardless of whether the content contained AI-generated inaccuracies, hallucinations, or fabricated representations about your qualifications;
  3. Your violation of these Terms;
  4. Your violation of any Third-Party Platform's terms of service;
  5. Your violation of any applicable law;
  6. Any employment dispute or claim related to applications submitted through the Service;
  7. Your interactions with Employers, recruiters, or other third parties found through the Service;
  8. Any claim that your Content infringes or violates the rights of a third party;
  9. For Employers, your Job Listings and your hiring or solicitation practices (see Section 19).

17. Termination

17.1 By You

You may cancel your subscription and close your account at any time as described in Section 6.7 or by contacting support@omlist.io. Cancellation of a subscription takes effect at the end of the current billing period.

17.2 By Us

We may suspend or terminate your account at any time, with or without cause and with or without notice, including for:

  • Violation of these Terms or our policies;
  • Fraudulent, abusive, or unlawful activity;
  • Non-payment;
  • Extended inactivity;
  • Providing false or misleading information;
  • Repeat copyright infringement (Section 12.5);
  • Business reasons, including discontinuation of the Service.

17.3 Effect of Termination

Upon termination:

  • Your right to use the Service ceases immediately (or at the end of the billing period, for user-initiated cancellations).
  • Unused Application Credits are forfeited and non-refundable.
  • We may delete your account data in accordance with our Privacy Policy and data retention practices. You may request data export before closing your account.
  • Provisions that by their nature should survive termination will survive, including Sections 3, 7, 8, 9.4–9.6, 11, 12, 14, 15, 16, 18, 19, and 20.

18. Dispute Resolution

18.1 Informal Resolution

Before initiating formal proceedings, you agree to contact us at legal@omlist.io and attempt to resolve any dispute informally for at least 30 days.

18.2 Binding Arbitration

If informal resolution fails, any dispute arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Arbitration shall take place in San Francisco, California, or remotely at your election. The arbitrator's decision shall be final and binding.

18.3 Class Action Waiver

YOU AND OMLIST AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

18.4 Mass / Batch Arbitration

If 25 or more substantively similar arbitration demands are filed against Omlist by or on behalf of multiple claimants represented by the same or coordinated counsel within a 60-day period, those demands will be administered as a coordinated batch proceeding under any AAA mass-arbitration supplementary rules then in effect, or, if no such rules exist, in batches of up to 50 demands at a time, with bellwether arbitrations selected by the parties to inform the resolution of remaining demands. This Section 18.4 is intended to ensure orderly resolution and reasonable filing-fee allocation; it does not waive any individual claimant's right to arbitrate.

18.5 Small Claims Exception

Either party may bring an individual action in small claims court for disputes within the court's jurisdictional limits.

18.6 Opt-Out Right

You may opt out of the arbitration and class action waiver provisions by sending written notice to legal@omlist.io within 30 days of first accepting these Terms. Your notice must include your name, email address, and a clear statement that you wish to opt out of arbitration. If you opt out, you may pursue claims in court subject to the governing law and jurisdiction provisions below.

18.7 Public Injunctive Relief Carve-Out

Notwithstanding anything else in this Section 18, claims for public injunctive relief (as that term is interpreted under California law, including McGill v. Citibank, N.A., 2 Cal. 5th 945 (2017)) may be brought in court. Any portion of a claim that does not seek public injunctive relief remains subject to arbitration under this Section 18.

18.8 Severability of Arbitration Provisions

If the class action waiver in Section 18.3 is found unenforceable as to any claim, that claim (and only that claim) shall be severed from arbitration and proceed in court; the remainder of this Section 18 shall remain in full force.


19. Employer / Job Poster Terms

19.1 Scope

This Section 19 applies to anyone who purchases or submits a paid Job Listing on the Service ("Employer Posters"). All Sections of these Terms apply to Employer Posters in addition to this Section 19.

19.2 Employer Representations and Warranties

If you post a Job Listing, you represent and warrant that:

  1. You are at least 18 years old and have authority to act on behalf of the hiring organization;
  2. The Job Listing describes a bona fide job opportunity, gig, or work engagement;
  3. The Job Listing complies with all applicable laws, including federal, state, and local employment, anti-discrimination, wage-and-hour, and equal-opportunity laws (including Title VII, the ADA, ADEA, EPA, and applicable state and local equivalents);
  4. The Job Listing does not require applicants to pay fees, purchase products, attend paid training, provide unpaid trial work that violates wage law, or share sensitive personal information (such as Social Security numbers or bank account details) as a precondition to applying;
  5. You will not use the Service to collect applicant data for purposes unrelated to the posted role;
  6. You have all rights necessary in any logos, brand assets, or images you upload with the Job Listing.

19.3 Prohibited Job Listings

We may, in our sole discretion, reject, modify, or remove any Job Listing that we believe violates these Terms or is misleading, discriminatory, fraudulent, MLM-style, or otherwise inconsistent with our content standards. Posting fees for rejected or removed Job Listings are non-refundable except where required by law.

19.4 Employer Indemnification

Employer Posters agree to indemnify, defend, and hold harmless Omlist (per Section 16) against any claim arising out of (a) the Job Listing's content, (b) any hiring or screening practices conducted in connection with applicants discovered through the Service, (c) any claim of employment discrimination, retaliation, harassment, or wage-and-hour violation, and (d) any breach of the representations in Section 19.2.

19.5 No Applicant Pre-Screening or Consumer Reports

Omlist does not pre-screen, background-check, or evaluate applicants on behalf of Employers, and does not provide "consumer reports" within the meaning of the FCRA. Employer Posters are solely responsible for any applicant screening they perform and for compliance with the FCRA, ADA, and "ban-the-box" / fair-chance hiring laws where applicable.

19.6 Posting Fees

Job Listing posting fees are described at the time of posting and are billed in accordance with Section 6 (or, where applicable, a separate Employer order form). All sales are final per Section 6.8.


20. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to conflict-of-law principles, except to the extent California law mandatorily applies to California residents for consumer protection purposes (including the CCPA/CPRA and the California Automatic Renewal Law), or another jurisdiction's law mandatorily applies to that jurisdiction's residents.

For any disputes not subject to arbitration, exclusive jurisdiction lies in the state and federal courts located in San Francisco County, California, and you consent to personal jurisdiction in those courts.


21. California Privacy Rights (CCPA/CPRA)

If you are a California resident, you have specific rights under the California Consumer Privacy Act as amended by the California Privacy Rights Act, including the right to know, delete, correct, and opt out of the sale or sharing of your personal information. These rights are described in detail in our Privacy Policy. To exercise your rights, contact us at privacy@omlist.io.

We do not sell your personal information. We do not discriminate against users who exercise their privacy rights.


22. International Users (EEA, UK, Switzerland)

The Service is operated from the United States. If you access the Service from the European Economic Area, the United Kingdom, or Switzerland, the data-protection rights and information described in our Privacy Policy apply to you, including the legal bases for processing, your right to lodge a complaint with a supervisory authority, and the safeguards we use for international data transfers. By using the Service, you understand and agree that your information may be transferred to, stored, and processed in the United States.


23. Modifications to These Terms

23.1 Changes

We may update these Terms from time to time to reflect changes in our Service, legal requirements, or business practices.

23.2 Notice

For material changes, we will provide at least 30 days' notice before the updated Terms take effect. Notice may be provided via email, in-app notification, or a prominent posting on the Service.

23.3 Acceptance

Your continued use of the Service after the effective date of updated Terms constitutes your acceptance of those changes. If you do not agree with the updated Terms, you must stop using the Service and may cancel your subscription.


24. Accessibility

We strive to make the Service usable by people of all abilities and to align our web experience with widely recognized accessibility standards (such as WCAG 2.1 AA) where practical. If you encounter an accessibility barrier, please contact us at support@omlist.io so we can investigate and address it.


25. General Provisions

25.1 Entire Agreement

These Terms, together with the Privacy Policy and any Plan-specific or Employer order terms presented at checkout, constitute the entire agreement between you and Omlist regarding the Service.

25.2 Severability

If any provision of these Terms is found unenforceable, the remaining provisions remain in full force and effect. The unenforceable provision will be modified to the minimum extent necessary to make it enforceable.

25.3 Waiver

Failure to enforce any provision does not constitute a waiver of that provision or any other provision.

25.4 Assignment

You may not assign these Terms without our written consent. We may assign freely in connection with a merger, acquisition, reorganization, or sale of assets, or to any affiliate or successor.

25.5 Force Majeure

We are not liable for failures or delays caused by events beyond our reasonable control, including natural disasters, war, government action, pandemics, internet outages, cyberattacks, third-party service failures, AI/LLM provider outages, applicant tracking system or job-board API changes or deprecations, or browser-vendor changes affecting CozyApply.

25.6 Notices

We may provide notices via email (to the address associated with your account), in-app notification, or posting on the Service. Notices from you should be sent to:
