CozyJobs Terms of Service

These Terms of Service ("Terms") govern your access to and use of CozyJobs, a product of OmList LLC ("OmList," "CozyJobs," "we," "our," or "us"), including the CozyJobs web platform, the CozyApply Chrome extension, and all related services, APIs, and features (collectively, the "Service").

By creating an account, subscribing, or using any part of the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Definitions

  • "Account" — your registered CozyJobs user account.
  • "Application Credits" — units consumed when the Service submits or queues a job application on your behalf.
  • "Auto-Apply" — the feature whereby CozyJobs submits job applications to supported platforms on your behalf using your profile data and preferences.
  • "CozyApply" — the CozyApply Chrome browser extension that facilitates manual-queue application submission from your browser.
  • "Content" — all text, documents, data, images, and other materials you upload, submit, or provide through the Service, including resumes, cover letters, and profile information.
  • "LLM-Generated Content" — text produced by large language models or AI tools integrated into the Service, including tailored resumes, cover letters, and application text.
  • "Manual-Apply Queue" — a feature allowing you to select jobs for later application via the CozyApply extension in your own browser session.
  • "Plan" — your selected subscription tier, which determines your Application Credit allowance and feature access.
  • "Service" — the CozyJobs platform, CozyApply extension, and all associated tools, features, and services.
  • "Third-Party Platform" — any external job board, applicant tracking system (ATS), employer website, or recruitment portal accessed or interacted with through the Service.

2. The Service

2.1 Description

CozyJobs is a paid subscription service that:

  1. Aggregates job listings from across the internet across all industries.
  2. Provides job search, filtering, matching, and saved-job features based on your profile and preferences.
  3. Offers Auto-Apply — submitting job applications on your behalf to supported Third-Party Platforms using your profile data and AI-tailored application materials.
  4. Offers Manual-Apply Queue — letting you select jobs to be queued and submitted via CozyApply in your own browser.
  5. Uses AI/LLM tools to generate tailored resumes, cover letters, and application content based on your inputs and the target job description.

2.2 No Employment or Recruiting Services

CozyJobs is a technology platform. We are not a staffing agency, recruiter, employment agency, or employer. We do not guarantee interviews, job offers, responses from employers, or employment outcomes of any kind.

2.3 Availability

The Service is provided on an "as available" basis. We may modify, suspend, or discontinue features at any time with or without notice. We will make reasonable efforts to notify users of material changes.

3. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service. By using the Service, you represent and warrant that you meet this requirement and have the legal capacity to enter into these Terms.

4. Account Registration

4.1 Accuracy

You agree to provide accurate, current, and complete information during registration and to update it as necessary.

4.2 Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately at support@omlist.io if you suspect unauthorized access.

4.3 One Account Per Person

Each account is for a single individual. You may not share account access, credentials, or Application Credits with others, or create multiple accounts to circumvent credit limits.

5. Subscription Plans and Application Credits

5.1 Paid Plans Only

CozyJobs offers three subscription tiers. There is no free tier. Specific features, Application Credit allowances, and pricing are described on our pricing page and at checkout.

5.2 Application Credits

  • Each Plan includes a defined number of Application Credits per billing period.
  • One Application Credit is consumed each time the Service submits or queues an application on your behalf (Auto-Apply or Manual-Apply Queue).
  • Unused credits do not roll over to the next billing period unless explicitly stated in your Plan terms.
  • Credits are non-transferable and have no cash value.

5.3 Credit Consumption

  • An Application Credit is consumed at the time of submission (Auto-Apply) or at the time the application is placed in the Manual-Apply Queue.
  • If a submission fails due to a Service error (not a third-party or user error), we may, at our discretion, restore the consumed credit. There is no guarantee of credit restoration for failures caused by Third-Party Platforms, incorrect user data, or external factors.

5.4 Plan Changes

You may upgrade or downgrade your Plan at any time through your account settings. Changes take effect at the start of the next billing period unless otherwise specified.

6. Billing and Payments

6.1 Recurring Billing

Subscriptions are billed on a recurring basis (monthly or annually, depending on your selection). By subscribing, you authorize us to charge your payment method on a recurring basis until you cancel.

6.2 Payment Methods

We accept payment methods as displayed at checkout. Payments are processed by third-party payment processors; their terms and privacy policies apply to payment transactions.

6.3 Price Changes

We may change subscription pricing upon at least 30 days' notice. Price changes take effect at the start of your next billing period after the notice period.

6.4 Taxes

All fees are exclusive of applicable taxes, which you are responsible for.

6.5 Refund Policy

  • Unused Billing Periods: If you cancel before the end of a billing period, your subscription remains active through the end of that period. No prorated refunds are provided for partial periods.
  • Credits Already Consumed: Application Credits that have been used are non-refundable.
  • Exceptional Circumstances: We may, at our sole discretion, issue refunds or credits in cases of significant Service outage, billing error, or other extraordinary circumstances. Requests should be submitted to support@omlist.io within 14 days of the event.
  • Chargebacks: If you initiate a chargeback or payment dispute, we reserve the right to suspend your account pending resolution.

7. User Responsibilities and Conduct

7.1 Truthful Information

You agree that all information in your profile, resume, and application materials is truthful and accurate. You are solely responsible for the content submitted in applications, including LLM-Generated Content that you review and approve.

7.2 Review Before Submission

You are responsible for reviewing all LLM-Generated Content before it is submitted. While our AI tools assist with tailoring, the final content represents you to potential employers. Submitting false, misleading, or inaccurate application materials may violate employer policies and applicable law.

7.3 Compliance with Third-Party Terms

You acknowledge that Third-Party Platforms have their own terms of service, and that:

  • Use of Auto-Apply and CozyApply may interact with platforms whose terms restrict or prohibit automated submissions.
  • You are responsible for understanding and accepting any risk associated with using automated tools on Third-Party Platforms.
  • We do not guarantee that our Service complies with the terms of every Third-Party Platform.

7.4 Prohibited Uses

You agree not to:

  1. Use the Service for any unlawful purpose.
  2. Misrepresent your identity, qualifications, or authorization.
  3. Submit applications for positions you are not genuinely interested in or qualified for.
  4. Use the Service to spam employers or overwhelm application systems.
  5. Attempt to reverse-engineer, decompile, or extract source code from the Service.
  6. Circumvent usage limits, credit restrictions, or access controls.
  7. Resell, sublicense, or redistribute access to the Service.
  8. Use the Service to scrape, harvest, or collect data for purposes unrelated to your own job search.
  9. Interfere with the operation, security, or availability of the Service.

8. Auto-Apply and Application Submission Disclaimers

8.1 Agent Relationship

When you enable Auto-Apply or use the Manual-Apply Queue, you authorize CozyJobs to act as your agent for the limited purpose of submitting job applications on your behalf, using your profile data and (where applicable) LLM-Generated Content that has been prepared based on your inputs.

8.2 No Guarantee of Delivery or Outcome

We do not guarantee that:

  • Applications will be successfully delivered to or received by Third-Party Platforms.
  • Applications will be reviewed, acknowledged, or responded to by employers.
  • Any particular employment outcome will result.

8.3 Third-Party Platform Risk

Third-Party Platforms may:

  • Reject, filter, or block automated submissions.
  • Change their systems, APIs, or terms without notice.
  • Take action against accounts that use automated tools, including suspending or banning your account on their platform.

OmList is not responsible for any adverse action taken by a Third-Party Platform against you or your account on that platform as a result of using the Service.

8.4 Application Accuracy

While we strive to submit applications accurately based on your profile, errors may occur due to platform changes, formatting issues, or data-mapping limitations. You should independently verify important applications when possible.

9. AI and LLM-Generated Content

9.1 Nature of AI Assistance

LLM-Generated Content is produced by artificial intelligence tools and is provided as a drafting aid. It may contain inaccuracies, fabricated details, or content that does not reflect your actual qualifications.

9.2 Your Responsibility

You are solely responsible for:

  • Reviewing and approving all LLM-Generated Content before submission.
  • Ensuring that submitted content is truthful, accurate, and appropriate.
  • Any consequences arising from the submission of LLM-Generated Content.

9.3 No Professional Advice

LLM-Generated Content does not constitute career counseling, legal advice, or professional guidance of any kind.

10. Intellectual Property

10.1 OmList IP

The Service, including its software, design, features, documentation, branding, and all proprietary technology, is owned by or licensed to OmList LLC. These Terms do not grant you any ownership rights in the Service.

10.2 Your Content

You retain ownership of Content you provide (resumes, profile data, etc.). By using the Service, you grant OmList a non-exclusive, worldwide, royalty-free license to use, process, store, reproduce, and transmit your Content solely for the purpose of operating and improving the Service, including submitting applications on your behalf and generating LLM-tailored materials.

10.3 LLM-Generated Content Ownership

LLM-Generated Content produced by the Service based on your inputs is provided for your use. You may use it for your personal job applications. We do not claim ownership of LLM-Generated Content delivered to you, but we retain the right to use aggregated, de-identified patterns and outputs to improve the Service.

10.4 Feedback

If you provide suggestions, feedback, or ideas about the Service, you grant us a perpetual, irrevocable, royalty-free license to use them without obligation to you.

10.5 DMCA

If you believe content on the Service infringes your copyright, contact us at legal@omlist.io with a DMCA notice including: identification of the copyrighted work, the infringing material, your contact information, and a statement of good-faith belief and accuracy under penalty of perjury.

11. Privacy

Your use of the Service is subject to our Privacy Policy, available at PRIVACY_POLICY.md and on our website. By using the Service, you acknowledge that you have read and understood the Privacy Policy.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE MAXIMUM EXTENT PERMITTED BY LAW, OMLIST DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT THAT:

  • THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
  • APPLICATIONS WILL BE DELIVERED, RECEIVED, OR PROCESSED BY THIRD-PARTY PLATFORMS.
  • LLM-GENERATED CONTENT WILL BE ACCURATE, COMPLETE, OR SUITABLE.
  • USE OF THE SERVICE WILL RESULT IN INTERVIEWS, OFFERS, OR EMPLOYMENT.
  • THE SERVICE WILL COMPLY WITH THE TERMS OF SERVICE OF EVERY THIRD-PARTY PLATFORM.

13. Limitation of Liability

13.1 Cap

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OMLIST'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID TO OMLIST IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS (USD $100).

13.2 Exclusion of Consequential Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL OMLIST, ITS OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, BUSINESS OPPORTUNITIES, OR EMPLOYMENT PROSPECTS, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

13.3 Third-Party Platform Actions

WE ARE NOT LIABLE FOR ANY ACTION TAKEN BY A THIRD-PARTY PLATFORM, INCLUDING ACCOUNT SUSPENSION, APPLICATION REJECTION, DATA LOSS, OR ANY OTHER CONSEQUENCE ARISING FROM YOUR USE OF THE SERVICE IN CONNECTION WITH THIRD-PARTY PLATFORMS.

14. Indemnification

You agree to indemnify, defend, and hold harmless OmList LLC, its officers, directors, members, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  1. Your use of the Service.
  2. Your Content or application materials (including LLM-Generated Content you approved).
  3. Your violation of these Terms.
  4. Your violation of any Third-Party Platform's terms of service.
  5. Your violation of any applicable law.
  6. Any employment dispute or claim related to applications submitted through the Service.

15. Termination

15.1 By You

You may cancel your subscription and close your account at any time through account settings or by contacting support@omlist.io. Cancellation takes effect at the end of the current billing period.

15.2 By Us

We may suspend or terminate your account at any time, with or without cause and with or without notice, including for:

  • Violation of these Terms or our policies.
  • Fraudulent, abusive, or unlawful activity.
  • Non-payment.
  • Extended inactivity.
  • Business reasons, including discontinuation of the Service.

15.3 Effect of Termination

Upon termination:

  • Your right to use the Service ceases immediately (or at the end of the billing period, for user-initiated cancellations).
  • Unused Application Credits are forfeited and non-refundable.
  • We may delete your account data in accordance with our Privacy Policy and data retention practices.
  • Provisions that by their nature should survive termination will survive, including Sections 10, 12, 13, 14, 16, and 17.

16. Dispute Resolution

16.1 Informal Resolution

Before initiating formal proceedings, you agree to contact us at legal@omlist.io and attempt to resolve any dispute informally for at least 30 days.

16.2 Binding Arbitration

If informal resolution fails, any dispute arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Arbitration shall take place in San Francisco, California, or remotely at your election.

16.3 Class Action Waiver

YOU AND OMLIST AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

16.4 Small Claims Exception

Either party may bring an individual action in small claims court for disputes within the court's jurisdictional limits.

17. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to conflict-of-law principles, except to the extent California law mandatorily applies to California residents for consumer protection purposes (including the CCPA/CPRA).

For any disputes not subject to arbitration, exclusive jurisdiction lies in the state and federal courts located in San Francisco County, California, and you consent to personal jurisdiction in those courts.

18. General Provisions

18.1 Entire Agreement

These Terms, together with the Privacy Policy and any Plan-specific terms presented at checkout, constitute the entire agreement between you and OmList regarding the Service.

18.2 Severability

If any provision of these Terms is found unenforceable, the remaining provisions remain in full force and effect.

18.3 Waiver

Failure to enforce any provision does not constitute a waiver of that provision.

18.4 Assignment

You may not assign these Terms without our written consent. We may assign freely in connection with a merger, acquisition, or sale of assets.

18.5 Force Majeure

We are not liable for failures or delays caused by events beyond our reasonable control, including natural disasters, war, government action, pandemics, internet outages, or third-party service failures.

18.6 Notices

We may provide notices via email, in-app notification, or posting on the Service. You may contact us at:

18.7 Amendments

We may update these Terms from time to time. Material changes will be communicated with at least 30 days' notice. Continued use after the effective date of changes constitutes acceptance.
